1. Introduction

These Terms of Use govern access to and use of the Hyrax Biosciences product for which they are presented (the “Services”). By registering for or using the Services, the Customer agrees to be bound by these Terms.

These Terms describe the respective rights and responsibilities of the Customer and Hyrax Biosciences in relation to the Services, including the submission and processing of Customer Data, the creation of Customer Deliverables, and the creation and use of Genomic Intelligence Assets.

These Terms should be read together with the applicable Privacy Policy, which explains how Hyrax Biosciences handles information submitted to or generated by the Services. In the event of any inconsistency between these Terms and the Privacy Policy, these Terms prevail to the extent of that inconsistency.

2. Definitions

Analytical Output: Information generated by Hyrax Biosciences through the processing, analysis or interpretation of Customer Data, including, without limitation, consensus sequences, amino acid sequences, variant calls, mutation profiles, quality metrics, annotations, classifications, resistance interpretations and other computational outputs generated by Hyrax Biosciences products or services.

Contextual Information: Scientific or operational information that provides analytical context without reasonably identifying an individual or disclosing Customer Confidential Information, including country, region, processing date, organism, assay type and scientific classifications.

Customer: The organisation or individual authorised to use Hyrax Biosciences products or services.

Customer Confidential Information: Non-public business, operational, scientific, technical or other confidential information belonging to a Customer that Hyrax Biosciences is expected to protect.

Customer Data: Data, information and materials submitted to Hyrax Biosciences by or on behalf of a Customer for the purpose of receiving Hyrax Biosciences products or services.

Customer Deliverable: Any report, result, file, analysis, interpretation or other output generated by Hyrax Biosciences specifically for delivery to, or use by, a Customer in fulfilment of the products or services requested by that Customer.

De-identified Data: Customer Data from which information capable of directly identifying an individual has been removed by the Customer prior to submission in accordance with Hyrax Biosciences’ customer agreements.

Genomic Intelligence Asset: Any information, knowledge, intellectual property or other asset created by Hyrax Biosciences through the collection, curation, organisation, aggregation, anonymisation, transformation, analysis or interpretation of information generated during Hyrax Biosciences’ analytical processes, whether derived from Customer Data alone or in combination with other information, provided such asset does not identify an individual or disclose Customer Confidential Information. Genomic Intelligence Assets include, without limitation, anonymised datasets, aggregated statistics, sequence collections, computational models, algorithms, analytical methods, software, databases, reports, visualisations, benchmarks, publications, application programming interfaces (APIs), predictive capabilities and other current or future information products.

Identifiable Individual: A natural person who can reasonably be identified, directly or indirectly, from available information.

Transformation: The analytical processes performed by Hyrax Biosciences that create new information from Customer Data, including aggregation, normalisation, annotation, interpretation, statistical analysis and computational analysis.

3. Acceptance of these Terms

By registering for, accessing or using the Services, the Customer agrees to be bound by these Terms.

If an individual registers for, accesses or uses the Services on behalf of an organisation or other legal entity, that individual represents and warrants that they have the authority to accept these Terms on behalf of that organisation or entity, and references to the “Customer” in these Terms shall include that organisation or entity.

If the Customer does not agree to these Terms, the Customer must not register for, access or use the Services.

The Customer’s continued use of the Services following any update to these Terms constitutes acceptance of those updated Terms, subject to Section 17 (Changes to these Terms).

4. The Services

Hyrax Biosciences provides software, analytical tools and related services for the processing, analysis and interpretation of genomic and other biological data.

The Services are provided for Research Use Only (RUO). They are not intended for use in clinical diagnosis, patient management, treatment decisions or any other regulated clinical purpose.

The Customer is solely responsible for determining whether the Services are suitable for the Customer’s intended use and for ensuring that any use of the Services complies with applicable laws, regulations, accreditation requirements and institutional policies.

The Services may be updated, enhanced, modified or discontinued from time to time as Hyrax Biosciences continues to develop and improve its products, technologies and analytical capabilities.

5. Customer Data

Customers retain ownership of the Customer Data they submit to Hyrax Biosciences. Nothing in these Terms transfers ownership of Customer Data to Hyrax Biosciences, and Hyrax Biosciences does not claim ownership of Customer Data.

The Services are designed to operate without information that directly identifies an individual. Accordingly, Customer Data submitted to the Services must be de-identified prior to submission, and the Customer is responsible for ensuring that this requirement is met.

Hyrax Biosciences acts as custodian of Customer Data for the purposes of providing the Services and in accordance with these Terms.

Customers remain responsible for maintaining their own copies of Customer Data. Unless expressly agreed otherwise, the Services are not intended to operate as a long-term archive or backup of Customer Data, and Hyrax Biosciences may retain and delete Customer Data in accordance with these Terms, the applicable Privacy Policy and its data retention policies.

If Hyrax Biosciences becomes aware that Customer Data contains information capable of directly identifying an individual, Hyrax Biosciences will treat that information as Customer Confidential Information and will take reasonable steps to ensure it is handled in accordance with these Terms and the applicable Privacy Policy.

6. Customer Deliverables

Customer Deliverables are created specifically for the Customer as part of the Services requested by the Customer.

Customers retain ownership of their Customer Deliverables. Nothing in these Terms transfers ownership of Customer Deliverables to Hyrax Biosciences, and Hyrax Biosciences does not claim ownership of Customer Deliverables.

Customers are entitled to unrestricted access to and use of their Customer Deliverables and may retain, analyse, publish, share and otherwise use their Customer Deliverables without restriction.

7. Hyrax Biosciences Analytical Processing

Hyrax Biosciences processes Customer Data using its proprietary software, algorithms, analytical methods and scientific expertise to provide the Services requested by the Customer.

During those analytical processes, two distinct categories of information are created. The first is the Customer Deliverables generated specifically for the Customer as part of the Services. The second is Genomic Intelligence Assets, which Hyrax Biosciences creates through the collection, curation, organisation, aggregation, transformation, analysis and interpretation of information generated through its analytical processes.

The creation of both Customer Deliverables and Genomic Intelligence Assets is the result of Hyrax Biosciences’ proprietary software, algorithms, analytical methods and expertise and underpins the products, services, intellectual property and information assets developed by Hyrax Biosciences.

8. Use of Information

In order to provide the Services, improve existing products, develop new products and technologies, and create Genomic Intelligence Assets, Hyrax Biosciences requires certain rights to process Customer Data and to generate and use information created through the provision of the Services.

Accordingly, the Customer grants Hyrax Biosciences the rights necessary to:

  • process Customer Data;
  • generate Analytical Outputs and Customer Deliverables;
  • provide, maintain and support the Services;
  • improve existing products, services and analytical capabilities;
  • develop new products, services, technologies and analytical capabilities;
  • create, maintain, use and enhance Genomic Intelligence Assets.

9. Genomic Intelligence Assets

As described in Section 7, Hyrax Biosciences creates Genomic Intelligence Assets through the analytical processes used to provide the Services. Genomic Intelligence Assets represent separate intellectual property and information assets created by Hyrax Biosciences. They are distinct from Customer Data and Customer Deliverables and arise through Hyrax Biosciences’ analytical processes, which apply its proprietary software, algorithms, analytical methods and scientific expertise to Customer Data, Analytical Outputs and other information generated through the provision of the Services.

Hyrax Biosciences owns the intellectual property and other rights in the Genomic Intelligence Assets it creates. Nothing in these Terms affects Customer ownership of Customer Data or Customer Deliverables, and ownership of Genomic Intelligence Assets does not imply ownership of Customer Data or Customer Deliverables.

Hyrax Biosciences may use Genomic Intelligence Assets to:

  • provide, maintain and improve products and services;
  • develop new products, services, technologies and analytical capabilities;
  • create, maintain and enhance datasets, reference resources, knowledge bases and other information products;
  • develop computational methods, algorithms, models and other analytical techniques;
  • conduct and support scientific research, publications and collaborative initiatives;
  • provide analytical services, benchmarking, comparative analytics and decision-support capabilities;
  • license, distribute, subscribe to or otherwise make Genomic Intelligence Assets available to third parties through appropriate commercial or non-commercial arrangements;
  • create and support future products, services, capabilities and opportunities.

Genomic Intelligence Assets may retain Contextual Information where doing so does not identify an individual or disclose Customer Confidential Information and enhances scientific or analytical value.


10. Third-Party Collaboration

Hyrax Biosciences may collaborate with commercial, academic, governmental and other organisations in connection with the development, validation, improvement, licensing and use of Genomic Intelligence Assets.

Such collaborations may include the contribution, comparison, enrichment, licensing, distribution or other appropriate provision or use of Genomic Intelligence Assets where this supports scientific research, product development, analytical capabilities or other legitimate commercial or non-commercial purposes.

Hyrax Biosciences may also combine, compare and enrich Genomic Intelligence Assets using appropriate third-party information or data sources.

Hyrax Biosciences will not share Customer Data, Customer Confidential Information or information identifying an individual as part of such collaborations.

11. Confidentiality and Responsible Stewardship

Hyrax Biosciences recognises that trust is fundamental to the Services. Hyrax Biosciences will manage Customer Data, Analytical Outputs and Genomic Intelligence Assets responsibly and in accordance with these Terms and the applicable Privacy Policy.

Hyrax Biosciences will take reasonable steps to protect Customer Data and Customer Confidential Information from unauthorised access, use or disclosure while it is held by Hyrax Biosciences.

If Hyrax Biosciences becomes aware that Customer Data contains information identifying an individual, Hyrax Biosciences will, where reasonably practicable, notify the Customer and take reasonable steps to ensure that such information is treated as Customer Confidential Information and handled in accordance with these Terms and the applicable Privacy Policy.

12. Customer Responsibilities

The Customer is responsible for ensuring that it has all necessary rights, permissions, approvals and legal authority to submit Customer Data to the Services and to grant Hyrax Biosciences the rights necessary to provide the Services in accordance with these Terms.

The Customer is responsible for ensuring that its submission and use of Customer Data, and its use of the Services and Customer Deliverables, comply with all applicable laws, regulations, accreditation requirements, ethical approvals and institutional policies.

The Customer must ensure that Customer Data submitted to the Services complies with these Terms, including the requirement that Customer Data be de-identified prior to submission.

13. Intellectual Property

The Services, including the software, algorithms, analytical methods, databases, documentation, user interfaces, trademarks, branding, know-how and other intellectual property used to provide the Services, are and remain the property of Hyrax Biosciences or its licensors.

Genomic Intelligence Assets created by Hyrax Biosciences are the intellectual property of Hyrax Biosciences in accordance with Section 9.

Nothing in these Terms affects Customer ownership of Customer Data or Customer Deliverables.

14. Disclaimers

The Services are provided for Research Use Only (RUO) as described in Section 4.

Except as expressly stated in these Terms, the Services are provided “as is”. Customer Deliverables are generated from Customer Data using Hyrax Biosciences’ analytical methods, and Hyrax Biosciences does not warrant that they will be complete, error-free or suitable for any particular purpose.

Hyrax Biosciences does not warrant that the Services will operate without interruption or error or that every analytical result will be complete or suitable for the Customer’s intended research purposes.

The Customer remains responsible for independently reviewing, evaluating and validating Customer Deliverables for the Customer’s intended research use and for ensuring that any use of the Services or Customer Deliverables complies with these Terms and all applicable laws, regulations, accreditation requirements and institutional policies.

Nothing in these Terms is intended to permit or authorise the use of the Services for clinical diagnosis, patient management, treatment decisions or any other regulated clinical purpose.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Hyrax Biosciences will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, revenue, business, goodwill, anticipated savings or data arising out of or in connection with the Services, Customer Deliverables or these Terms.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

16. Suspension and Termination

Hyrax Biosciences may suspend or terminate the Customer’s access to the Services where reasonably necessary to:

  • protect the security, integrity or availability of the Services;
  • investigate suspected misuse of the Services or breaches of these Terms;
  • comply with applicable laws, regulations or legal obligations; or
  • protect the rights, property or legitimate interests of Hyrax Biosciences, its Customers or third parties.

Where reasonably practicable, Hyrax Biosciences will provide the Customer with notice of any suspension or termination and, where appropriate, an opportunity to remedy the circumstances giving rise to the suspension or termination.

Termination or suspension of access to the Services does not affect any rights or obligations that survive by their nature, including the ownership rights described in these Terms.

17. Changes to these Terms

Hyrax Biosciences may update these Terms from time to time.

Hyrax Biosciences may update these Terms to clarify, explain or improve their wording, correct errors or make other non-material changes that do not alter the rights, obligations or commercial relationship established by these Terms. Such updates do not require renewed acceptance by the Customer.

Where Hyrax Biosciences makes a material change to the rights, obligations or commercial relationship established by these Terms, Hyrax Biosciences will provide notice to the Customer and, where reasonably necessary, require the Customer to accept the updated Terms before continuing to use the affected Services.

The version of these Terms in effect at the time the Customer registers for or accepts the Services will continue to apply until any updated Terms take effect in accordance with this Section.

18. General

These Terms constitute the entire agreement between the Customer and Hyrax Biosciences in relation to the Services and supersede any prior discussions, understandings or agreements relating to their subject matter.

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect to the fullest extent permitted by applicable law.

The Customer may not assign or transfer any rights or obligations under these Terms without the prior written consent of Hyrax Biosciences. Hyrax Biosciences may assign or transfer its rights and obligations under these Terms as part of a corporate reorganisation, merger, acquisition, sale of assets or similar transaction, or to any affiliated entity.

A failure or delay by Hyrax Biosciences in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy.

These Terms are governed by the laws of Ireland, without regard to its conflict of laws principles. The courts of Ireland shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms or the Services.
